These are the terms under which ATHELS does business with the agencies we serve. They stand for all work unless there is a written agreement to the contrary between the agency and ATHELS.
We write and place Arabic communications for international agencies. We are working for the agency and in its name, not for the agency's client. We do not get in touch with the client, we do not put the client's name to anything and we do not display the work.
A one-page written brief in English sent by email is sufficient to start work. It will cover the kind of piece, its purpose and reader, the facts to be included and the deadline. ATHELS will, within a business day, either put the delivery date and price to you in writing or decline. The price is for the piece as set out in the brief. If the website shows a different figure, the one confirmed by email applies.
A senior consultant reviews and signs off on the first draft before it is delivered on the date we have agreed upon.
Revisions are included in the price so long as they are in keeping with the brief and are put in within ten business days of delivery. Should the brief be altered with a new purpose, reader or facts, that constitutes a new piece and is priced accordingly.
The agency vouches for the accuracy and completeness of what it supplies. ATHELS operates on the information given and cannot be held responsible for any errors, omissions or claims in it. We do not offer legal, financial or regulatory counsel.
The agency must indemnify ATHELS from any claim, loss, cost or penalty that comes about from the facts, figures, names or claims it has provided, from the publication of the material we deliver or from how the agency or its client uses it.
On any grounds, ATHELS's liability for a piece of work is no more than the fee for that piece. We are not liable for indirect losses or any damage to profit or reputation.
We use in-house tools for drafting at ATHELS, including artificial intelligence systems. But no file is put forward on the output of a tool alone; a senior consultant has reviewed, corrected and signed it off. Any briefs or documents the agency provides are not used for system training nor are they given to third parties beyond what is required to do the work.
Once payment is made in full, all rights to the material go to the agency. ATHELS has no right to use or show the work. It will bear the agency's brand and template and our name will not be seen in it.
This is a service apart and is priced when asked after we have read the piece. From the outlets and platforms we can reach in the region, ATHELS will put forward a suitable one. Nothing is sent until the agency has approved the outlet and the price in writing.
We guarantee publication in the agreed outlet. If the piece has not run there 30 days after being sent, an alternative of the same tier is offered for the agency's written approval. A refusal of the alternative means the placement fee is returned in full, though the writing fee is unaffected.
The outlet makes the call on position, timing, length and final wording under its own rules and may label the piece as sponsored or advertising. It is up to the agency to make this plain to the client. We will not place material an outlet rejects on editorial or legal grounds.
All prices are in US dollars and do not include tax in the agency's country.
Single pieces are invoiced on delivery and due in 14 days. Retainers are invoiced once on agreement and are to be paid prior to the first piece. Placement fees are paid in advance once the outlet and price are approved.
Payment is by bank transfer in US dollars to our account in the United States, nothing else. The agency covers the bank and transfer charges and we credit what we receive. No new briefs from an agency with an overdue invoice will be taken on.
Retainers last twelve months from the date of payment; pieces not ordered in that time lapse.
Writing fees are non-refundable for a single piece or a retainer since the work is intellectual and cannot be given back. Revision is the remedy if a piece does not live up to the brief. The only refund allowed is the placement fee as described above.
Everything we get from the agency is kept confidential, the identity of your client included. We do not share delivered material outside the agency. Files are deleted 90 days after delivery unless the agency asks in writing for them to be retained.
For twelve months following the last piece for a given client, ATHELS will not take work directly from an agency's client without the agency's written consent. We would refer such a client back to the agency.
We work for more than one agency and may have clients in the same sector. There is no implied exclusivity. Exclusivity is available by written agreement and is priced separately.
We can turn down any brief at any point if it is outside our role, scope or Client Acceptance Policy and need not give a reason.
Our obligation for a piece is done when the revision period is over. There is no support or follow-up after that.
To send a brief and accept a quoted price is to accept these terms.
The laws of the State of Wyoming, United States, apply. Any dispute goes before the state or federal courts in Wyoming and the agency accepts their jurisdiction.
